1. Object

The company Heylo SAS (hereinafter, « Heylo ») publishes a carpooling platform accessible on a website in particular at the address www.Heylo.cm or in the form of a mobile application and intended to (i) put together drivers traveling to a given destination on their own account with passengers going in the same direction in order to allow them to share the journey and therefore the costs associated with it and (ii) reserve places for bus connections with Coach operators authorized by Heylo to publish certain journeys on the platform (hereinafter, the « Platform »)

The purpose of these general conditions of use is to regulate the access and the terms of use of the Platform. We invite you to read it carefully. You understand and acknowledge that Heylo is not a party to any agreement, contract or contractual relationship, of any kind whatsoever, concluded between the Members of its Platform or with a Coach operator.

By clicking on the "Connect with Facebook or Google" or "Direct registration" button, you acknowledge having read and accept all of these general conditions of use.

2. Definitions

In these,

« Agent »means a natural or legal person authorized by Heylo to carry out operations on the platform on behalf of a third party;

« Announcement » means without distinction a Carpool Announcement or a Bus Announcement;

« Carpool Announcement » means an announcement concerning a Trip posted on the Platform by a Driver;

« Bus Announcement » means an announcement concerning a Bus Trip posted on the Platform by a Coach operator;

« Coach operator » means a professional passenger transport company authorized by Heylo to publish certain Bus Routes on the Platform;

« Heylo » has the meaning given to it in section 1 above;

« Identification code » means the confidential code sent by SMS to the driver and passenger following confirmation of the reservation and which enables the driver to undertake before making the journey to ensure that he is in fact dealing with his passenger and vice versa;

« Confirmation code » means the confidential code sent by SMS to the passenger following the confirmation of the reservation which must be given to the driver at the end of the journey in order to allow him to claim payment of the contribution to the costs of each passenger;

« T & Cs » means General Conditions of Use;

« Account » means the account which must be created in order to become a Member and access certain services offered by the Platform;

« Facebook account » has the meaning given to it in article 3.2 below;

« Driver » means the Member proposing, on the Platform, to transport another natural person in return for the Participation in the Costs, for a route and a timetable defined by himself;

« Booking Confirmation » has the meaning given to it in article 4.2.1 below;

« Consumer » Any person who uses products to meet his own needs and those of his dependents and not to resell, transform or use them within the framework of his profession, or any person who benefits from the services provided;

« Member Content » has the meaning given to it in Article 11.2 below;

« Service Fee » has the meaning given to it in article 5.2 below;

« Member » means any natural person who has created an Account on the Platform;

« Passenger » means the Member who has accepted the offer to be transported by the Driver or, where applicable, the person on behalf of whom a Member has reserved a Seat or by the Coach operator;

« Participation in Expenses » means, for a given Carpool Trip, the amount of money requested by the Driver and accepted by the Passenger as part of his participation in travel expenses;

« Seat » means the seat reserved by a Passenger in a Driver's vehicle or in a vehicle operated by a Coach operator;

« Platform » has the meaning given to it in Article 1, above;

« Price » means, for a given Bus Trip, the price inclusive of all taxes requested by the Coach provider for a place in said vehicle;

« Professional » Any natural or legal person who acts, including through a person acting on his behalf or on his behalf for purposes which fall within the scope of a commercial, industrial, craft or liberal activity.

« Reservation » has the meaning given to it in article 4.2.1. below ;

« Services » means all of the services rendered by Heylo through the Platform;

« Site » means the website accessible at the address www.Heylo.cm;

« Sub-Journey » has the meaning given to it in article 4.1 below;

« Trip » means without distinction a Carpool Trip or a Bus Trip

« Carpool Trip » means the trip which is the subject of a Carpool Announcement published by a Driver on the Platform and for which he agrees to transport Passengers in return for the Cost Sharing;

« Carpool Trip » means the trip which is the subject of a Carpool Announcement published by a Driver on the Platform and for which he agrees to transport Passengers in return for the Cost Sharing;

« Bus journey » means the journey which is the subject of a Bus Announcement published by a Coach operator on the Platform and for which it offers places on board the vehicle for sale in return for the Price.

3. Registration to the Platform and creation of Account

3.1. Registration conditions for the Platform

The use of Platform is reserved for natural persons aged 21 years or more. Any registration on the Platform by a minor is strictly prohibited. By accessing, using or registering on the Platform, you declare and guarantee that you are 21 years of age or older.

3.2. Account creation

The Platform allows Members to publish Carpool Ads and view Ads as well as interact with each other for seat reservation. You can view the Ads even if you are not registered on the Platform. However, you can neither publish a Carpool Announcement nor reserve a Place without first having created an Account and becoming a Member.

To create your Account, you can:

● (i) either complete all of the mandatory fields on the registration form;

● ii) either connect, via our Platform, to your Facebook or Google account (hereinafter, your “Facebook / Google Account”). By using such a functionality, you understand that Heylo will have access, publish on the Platform and keep certain information from your Facebook / Google Account. You can remove the link between your Account and your Facebook / Google Account at any time using the "Verifications" section of your profile. To register on the Platform, you must have read and accept these Terms and the Privacy Policy.

When creating your Account, and whatever method you choose to do so, you agree to provide accurate and up-to-date personal information and to update it, through your profile or by notifying Heylo, in order to guarantee its relevance and accuracy throughout your contractual relationship with Heylo.

You agree at all times to keep secret the password chosen during the creation of your Account and not to communicate it to anyone.

When you register via an agent, a unique and temporary password is automatically generated by the system and communicated to you by SMS. You agree to keep it secret and to change it as soon as possible.

In the event of loss or disclosure of your password, you agree to inform Heylo without delay. You are solely responsible for the use of your Account by a third party, as long as you have not expressly notified Heylo of the loss, the fraudulent use by a third party or the disclosure of your password to a third party.

You agree not to create or use, under your own identity or that of a third party, other Accounts than the one originally created.

3.3. Verification

Heylo may, for purposes of transparency, confidence building, or fraud prevention or detection, set up a system for verifying some of the information you provide on your profile. This is particularly the case when you enter your telephone number or provide us with an identity document.

You acknowledge and accept that any reference on the Platform or the Services to information known as "verified" or any similar term, only means that a Member has successfully passed the existing verification procedure on the Platform or the Services in order to provide you more information about the Member you plan to travel with. Although our teams make every effort to ensure the quality of our verification procedure, Heyl'O cannot guarantee the veracity or reliability of the data subject to verification.

You acknowledge and accept that any reference on the Platform or the Services to information known as "verified" or any similar term, only means that a Member has successfully passed the existing verification procedure on the Platform or the Services in order to provide you more information about the Member you plan to travel with. Although our teams make every effort to ensure the quality of our verification procedure, Heyl'O cannot guarantee the veracity or reliability of the data subject to verification.

4. Use of the Services

4.1. Publication of Carpool Ads

As a Member, and subject to fulfilling the conditions below, you can create and publish Carpool Ads on the Platform by indicating information about the Carpool Trip you intend to make (dates / times and places of departure and arrival, number of places offered, options offered, amount of cost sharing, etc.).

When publishing your Carpool Announcement, you can indicate stopover cities, in which you agree to stop to pick up or drop Passengers. The sections of the Carpool Trip between these stopover cities or between one of these stopover cities and the start or end point of the Carpool Trip constitute "Sub-Routes".

You are only allowed to publish a Carpool Announcement if you meet all of the following conditions:

● (i) you hold a valid driver's license;

● (ii) you only offer Carpool Ads for vehicles that you own or use with the express permission of the owner, and in any case that you are authorized to use for carpooling purposes;

● (iii) you are and remain the main driver of the vehicle, subject of the Carpool Announcement;

● (iv) the vehicle has valid third party insurance;

● (v) you have no medical contraindication or inability to drive;

● (vi) the vehicle you intend to use for the Trip is a 4-wheel passenger car, with a maximum of 7 seats, excluding so-called "license-free" cars;

● (vii) you do not intend to publish another advertisement for the same Carpool Trip;

● (viii) you do not offer more Places than those available in your vehicle;

● (ix) all the Places offered have a seat belt, even if the vehicle is approved in the presence of seats without a seat belt;

● (x) you are using a vehicle in perfect working order and in compliance with applicable customs and legal provisions, in particular with up-to-date technical control;

● (xi) you are a consumer and do not act in a professional capacity.

You acknowledge that you are solely responsible for the content of the Carpool Announcement that you publish on the Platform. Consequently, you declare and guarantee the accuracy and veracity of all the information contained in your Carpool Announcement and you agree to carry out the Carpooling Trip according to the methods described in your Carpool Announcement.

Your Carpool Announcement will be published on the Platform and therefore visible to Members and all visitors, even non-Members, performing a search on the Platform or on the Heylo partners website. Heylo reserves the right, at its sole discretion and without notice, not to publish or withdraw, at any time, any Carpool Announcement that does not comply with the T & Cs or that it considers as detrimental to its image, that of the Platform or that of Services.

You are also informed that in the event that you present yourself as a consumer using the Platform while you are actually acting professionally, you will be subject to the sanctions provided for in Article 80 p) of Law No 2015 / 018 of December 21, 2015 governing commercial activity in Cameroon

4.2. Reservation of a Place

Heylo has set up an online seat reservation system (the « Reservation ») for the Routes offered on the Platform.

The methods of reserving a Place depend on the nature of the planned Trip.

4.2.1. Carpool ride

When a Passenger is interested in a Carpool Announcement, they can make a Reservation request online either directly or through an agent. This Reservation request is (i) either accepted automatically (if the Driver chose this option when publishing his Carpool Announcement), (ii) or accepted manually by the Driver. At the time of the Reservation, the Passenger proceeds to the online payment of the Cost Contribution amount and the related Service Fees, if applicable. After verification of the payment by Heylo and validation of the Booking request by the Driver, if applicable, the Passenger receives a booking confirmation (the « Booking Confirmation »).

If you are a Driver and you have chosen to manage the Reservation requests yourself when publishing your Carpool Ad, you are required to respond to any Reservation request within a certain time period. Failing this, the Reservation request will automatically expire and the Passenger will be refunded the full amount paid at the time of the Reservation request, if any.

As of the Confirmation of the Reservation, you are now solely responsible for the execution of the contract binding you to the other Member.

4.2.2. The trip by bus

For Bus Routes, Heylo offers to book a ticket for a given Bus Route through the Platform. Heylo does not provide transport services within the framework of the Bus Route, the Coach operators being the only parties to the transport contract. You acknowledge that the reservation of Places for a given Bus Trip is subject to the general conditions of the relevant Coach.

4.2.3. Nominative nature of the seat reservation and methods of using the Services on behalf of a third party

Any use of the Services, whether as a Passenger or a Driver, is nominative. Both the Driver and the Passenger must correspond to the identity communicated to Heylo and to the other Members participating in the Carpool Route or to the Coach operator, if applicable.

However, Heylo allows its Members to reserve one or more Places on behalf of a third party provided that the latter is a minor and that you accompany them. It is strictly forbidden to reserve a Place for a minor traveling alone for a Carpool Trip. In the event that you reserve a Place for a Carpool Trip for a minor traveling alone, you agree to request the Driver's prior agreement and to provide him with a duly completed and signed authorization from the legal representatives. With regard to a Bus Route, we invite you to read the general conditions of the Coach provider concerned.

In addition, the Platform is intended for the reservation of Places for natural persons. It is therefore forbidden to reserve a Place for the transport of an object, package, an animal traveling alone or any material element.

Furthermore, it is prohibited to publish a Carpool Announcement for a Driver other than yourself.

4.3. Notification system

4.3.1. Operation

Heylo encourages you to leave a review on a Driver or Coach (if you are a Passenger) or a Passenger (if you are a Driver) with whom you shared a Trip or with whom you were supposed to share a Trip or Passenger (if you you are a Passenger) with whom you shared a Trip. However, you are not allowed to leave a review on a Member with whom you have not traveled or with whom you were not supposed to travel.

Your opinion, as well as that left by another Member towards you, if any, will only be visible and published on the Platform after the shortest of the following deadlines: (i) immediately after both of you have, left a notice or (ii) spent 14 days after the first notice left.

You can respond to a notice that another Member has left on your profile within a maximum of 14 days following the publication of the notice left for you. The notice and your response, if applicable, will be published on your profile.

4.3.2. Moderation

You acknowledge and agree that Heylo reserves the right not to publish or delete any notice, question, comment or response whose content it deems contrary to these T & Cs.

4.3.3. Threshold

Heylo reserves the right to suspend your Account, limit your access to the Services or terminate these T & Cs in the event that (i) you have received at least three notices and (ii) the average of the notices you have received is equal to or less to 3.

5. Financial conditions

Access to and registration with the Platform, as well as research, consultation and publication of Ads are free. On the other hand, the Reservation is chargeable under the conditions described below.

5.1. Participation in Costs and Prices

5.1.1. As part of a Carpool Trip, the amount of the Cost Contribution is determined by you, as the Driver, under your sole responsibility. It is strictly prohibited to derive any benefit from the use of our Platform. Consequently, you agree to limit the amount of the Cost Contribution that you ask your Passengers to the costs that you actually bear to make the Carpool Trip. Otherwise, you alone will bear the risks of re-qualification of the operation carried out through the Platform.

When you publish a Carpool Announcement, Heylo can suggest a Cost Participation amount which takes into account in particular the nature of the Carpool Trip and the distance traveled. This amount is purely indicative and it is up to you to change it up or down to take into account the costs that you actually bear on the Carpool Trip.

5.1.2. With regard to Bus Routes, the Price per Seat is set at its sole discretion by the Coach.

5.2. Service charge

Heylo may charge, in return for using the Platform, service fees to its users (hereinafter, the “Service Fees”). The user will be informed before any application of Service Fees if applicable.

The methods of calculating the Service Fees in force accessible here [1] are provided for informational purposes only and have no contractual value. Heylo reserves the right to modify the calculation of the Service Fees at any time. These modifications will have no effect on the Service Fees accepted by users before the date on which these modifications take effect.

With regard to cross-border journeys, the methods of calculating the amount of the Service Fees and applicable taxes vary depending on the Member's residence.

When you use the Platform for Cross-border or out of Cameroon Routes, the Service Fees may be invoiced by an affiliated company of Heylo editing the local platform.

5.3. Rounded

You acknowledge and agree that Heylo may, at its sole discretion, round the Service Fee and the Cost Fee down to a lower or higher figure.

5.4. Payment and repayment terms for the Driver's Fee or the Coach Provider Price

5.4.1. Collection mandate

By using the Platform as Driver for Trips with Reservation, you entrust Heylo with a mandate to collect the amount of the Cost Contribution in your name and on your account.

Consequently, as part of a Carpool Trip, and after manual or automatic acceptance of the Reservation, Heylo collects the entire amount paid by the Passenger (Service Fees and Cost Sharing).

The Cost Contributions received by Heylo are deposited in an account dedicated to the payment of Drivers.

You acknowledge and accept that none of the sums collected by Heylo in the name and on behalf of the Driver does not entitle to interest. You agree to respond diligently to any request from Heylo and more generally from any administrative or judicial authority competent in particular in the prevention or fight against money laundering. In particular, you agree to provide, upon request, any proof of address and / or useful identity.

In the absence of a response from you to these requests, Heylo may take any action it deems appropriate, in particular the freezing of the amounts paid and / or the suspension of your Account and / or the termination of these T & Cs.

5.4.2. Payment of the Driver's Fee Contribution

Following the Carpool Journey, the Driver must recover from each Passenger a confirmation code which he must submit to the platform to confirm that the journey has been made and therefore claim payment for it. He can do it directly on the platform, by calling or via a message (email, SMS, WhatsApp). If one or more confirmation codes are not submitted, the driver is automatically paid after 24 hours. Passengers have 24 hours to present any complaint to Heylo. In the absence of any dispute on their part during this period, Heylo considers the confirmation of the Trip as acquired.

As of this express or tacit confirmation, you, as a Driver, have a credit payable on your Account. This credit corresponds to the total amount of the Cost Contribution paid by the Passenger at the time of confirmation of the Reservation minus the Service Fees.

When the Carpool Trip is confirmed by the Passenger, you, as a Driver, can claim your money via the wallet module of your Heylo account.

The money will be deposited into your account no later than 3 hours after the transfer order. [2] [3] [4]

At the end of the applicable 3-year limitation period, any amount not claimed from Heylo will be deemed to belong to Heylo.

5.4.3. Payment of the Price to the Coach

Following the Bus Journey, you have 24 hours to submit a complaint to Heylo. In the absence of any dispute on your part, Heylo considers the confirmation of the Bus Route as acquired and will pay the Price to the Coach.

6. Non-commercial and non-professional purpose of the use by Drivers of the Services and the Platform

You agree to use the Services and the Platform only to be put in contact, on a non-professional and non-commercial basis, with people wishing to share a Carpool Trip with you or to reserve a Place as part of a Trip by bus.

As a Driver, you agree not to ask for a Cost Contribution greater than the costs that you actually bear and likely to generate a profit, it being specified that in the case of cost sharing, you must also, in as a Driver, bear your share of the costs of the Carpool Trip. You are solely responsible for calculating the costs that you bear for the Carpool Trip, and for ensuring that the amount requested from your Passengers does not exceed the costs that you actually bear (excluding your share of the cost sharing). ), in particular by referring to the applicable flat-rate kilometric tax scale.

Heylo reserves the right to suspend your Account in the event that you use a professional vehicle such as a VTC or taxi, a company or service car and thereby generate a profit on the Platform. You agree to provide Heylo, upon request from the latter, with a copy of your registration card and / or any other document attesting that you are authorized to use this vehicle on the Platform and not get no benefit.

Heylo also reserves the right to suspend your Account, limit your access to the Services or terminate these T & Cs in the event of your activity on the Platform, which, due to the nature of the trips offered, their frequency, the number of Passengers carried or the amount of Cost Sharing requested, would result in a profit situation for you or for any reason whatsoever making Heylo suspect that you are generating a profit on the Platform.

7. Cancellation policy

7.1. Refund conditions in case of cancellation

Only Carpool Trips are the subject of this cancellation policy, Heylo offering no guarantee of any kind whatsoever in the event of cancellation for any reason whatsoever. Within the framework of Bus Routes, this being subject to the general conditions of use of Coach operators. Notwithstanding the above, in the event of cancellation by a Passenger of a Seat within the framework of a Bus Trip, the Service Fees will remain acquired at Heylo.

The cancellation of a Seat in a Carpool Ride by the Driver or Passenger after the Booking Confirmation is subject to the following stipulations:

– In the event of cancellation attributable to the Driver, the Passenger will be reimbursed for the entire amount he has paid (i.e. the Contribution to the Fees and the related Service Fees). This is particularly the case when the Driver cancels a Carpool

– In the event of cancellation attributable to the Passenger:

● If the Passenger cancels more than 12 hours before the scheduled departure time as mentioned in the Carpool Announcement and thirty minutes or less after the Booking Confirmation, the Passenger is reimbursed for the entire Cost Contribution. The Service Fees remain the property of Heylo and the Driver receives no sum of any kind;

● If the Passenger cancels less than 12 hours or at most 6 hours before the scheduled departure time, as mentioned in the Carpool Announcement and more than thirty minutes after the Booking Confirmation, the Passenger is reimbursed up to half of the Cost Fee paid during the Booking, the Service Fee remains with Heylo and the Driver receives 50% of the Fee Cost;

● If the Passenger cancels less than 6 hours before the scheduled departure time, as mentioned in the Carpool Announcement and more than thirty minutes after the Booking Confirmation, the Driver is compensated up to the full amount of the Participation in Fees and Service Fees are retained by Heylo;

● If the Passenger cancels after the scheduled departure time, as mentioned in the Announcement, or if he does not show up at the meeting point at the latest within 15 minutes from the hour agreed, no refund is made. The Driver is compensated up to the total cost share and the Service Fees are kept by Heylo.

When the cancellation occurs before departure and because of the Passenger, the Seat (s) canceled by the Passenger for the said Carpool Ride are automatically made available to other Passengers who can book them online and in consequence subject to the conditions of these T & Cs.

Heylo assesses at its sole discretion, on the basis of the elements at its disposal, the legitimacy of the reimbursement requests it receives.

7.2. Right to retract

By accepting these T & Cs, you expressly accept that the Contract between you and Heylo consisting in putting you in contact with another Member will be executed before the expiration of the withdrawal period from the Booking Confirmation and expressly waive your right of withdrawal, in accordance with the provisions of article 7 of the law of May 6, 2011 on consumer protection.

8. Behavior of Platform users and Members

8.1. Commitment of all users of the Platform

You acknowledge that you are solely responsible for compliance with all the laws, regulations and obligations applicable to your use of the Platform.

Furthermore, by using the Platform and during the Journeys, you agree to:

● (i) not to use the Platform for professional, commercial or lucrative purposes if you are not a Coach operator;

● (ii) not transmit to Heylo (in particular when creating or updating your Account) or to other Members or Coach operators any false, misleading, deceptive or fraudulent information;

● (iii) not make any comments, have any behavior or post on the Platform any content of defamatory, offensive, obscene, pornographic, vulgar, offensive, aggressive, inappropriate, violent, threatening, harassing, racist, xenophobic, sexual connotation, inciting hatred, violence, discrimination or hatred, encouraging activities or the use of illegal substances or, more generally, contrary to the purposes of the Platform, likely to infringe the rights of Heylo or a third party or contrary to good morals;

● (iv) not harm Heylo's rights and image, in particular its intellectual property rights;

● (v) not to open more than one Account on the Platform and not to open an Account in the name of a third party;

● (vi) not attempt to bypass the online booking system of the Platform, in particular by trying to communicate to another Member or a Coach provider your contact details in order to make the booking outside the Platform and not to pay the Service Fees ;

● (vii) not to contact another Member or Coach provider, in particular through the Platform, for any purpose other than that of defining the procedures for carpooling;

● (viii) not accept or make a payment outside the Platform;

● (ix) comply with these Terms and the Privacy Policy.

8.2. Commitments of Drivers

In addition, when you use the Platform as a Driver, you agree to:

● (i) comply with all the laws, rules, codes applicable to driving and to the vehicle, in particular to have valid civil liability insurance at the time of the Rideshare and be in possession of a driving license in force;

● (iii) take no risk at the wheel, not to absorb any product likely to impair your attention and your abilities, to drive with vigilance and in complete safety;

● (iv) publish Carpool Ads corresponding only to routes actually planned;

● (v) carry out the Carpool Trip as described in the Carpool Announcement (in particular with regard to the use of the motorway or not) and respect the times and places agreed with the other Members (in particular meeting place you and removal);

● (vi) not take more Passengers than the number of Places indicated in the Carpool Announcement;

● (vii) use a vehicle in perfect working condition and in accordance with applicable customs and legal provisions, in particular with up-to-date technical control

● (viii) communicate to Heylo or any Passenger who requests it, your driver's license, your registration card, your insurance certificate, your technical control certificate as well as any document attesting to your capacity to use this vehicle as as Driver on the Platform;

● (ix) in the event that the timetable or the Carpooling Journey is prevented or changed, inform your Passengers without delay;

● (x) in the case of a cross-border Carpool Journey, have and make available to the Passenger and to any authority which requests it, any document which can justify your identity and your ability to cross the border;

● (xi) wait for Passengers at the agreed meeting place at least 15 minutes beyond the agreed time;

● (xii) not publish a Carpool Announcement relating to a vehicle of which you are not the owner or which you are not authorized to use for carpooling purposes;

● (xiii) make sure you can be reached by phone by Heyl’O, at the number saved on your profile;

● (xiv) not generate any profit through the Platform;

● (xv) guarantee that he has no medical contraindication or incapacity to drive;

● (xvi) behave properly and responsibly during the Carpool Trip and in keeping with the spirit of carpooling.

● (xvii) Keep the identification code confidential and use it only to confirm the identity of a passenger.

8.3. Passenger Commitments

8.3.1. During a Carpool Trip

When you use the Platform as a Passenger in the context of a Carpool Trip, you agree to:

● (i) adopt a suitable behavior during the Carpool Journey so as not to interfere with the Driver's concentration and conduct or the tranquility of other Passengers;

● (ii) respect the Driver's vehicle and its cleanliness;

● (iii) if unable to do so, inform the Driver without delay;

● (iv) wait for the Driver at the agreed meeting place at least 15 minutes beyond the agreed time;

● (v) communicate to Heylo or any Driver who requests it, the identification code, your identity card or any document capable of attesting to your identity;

● (vi) not transport, during a Carpool Trip, any object, merchandise, substance, animal likely to interfere with the conduct and concentration of the Driver or whose nature, possession or transport is contrary to the legal provisions in force ;

● (vii) in the event of a cross-border Carpool Journey, have and keep available to the Driver and any authority which requests it, any document which can justify your identity and your ability to cross the border;

● (viii) make sure you can be reached by phone by Heylo, at the number saved on your profile, especially at the meeting point.

● (xvii) Keep the identification code confidential and only communicate it to the driver who must confirm your identity.

In the event that you have made the Reservation of one or more Places on behalf of a third party, in accordance with the stipulations of article 4.2.3 above, you are in a position to respect this third party for the stipulations of this article and, in general, these Terms. Heylo reserves the right to suspend your Account, limit your access to the Services or terminate these T & Cs, in the event of breach by the third party on behalf of which you have reserved a Place in these T & Cs.

8.3.2. During a Bus Trip

Within the framework of a Bus Trip, the Passenger undertakes to comply with the general conditions of the Coach provider concerned.

9. Suspension of accounts, limitation of access and termination

You have the option of terminating your contractual relationship with Heylo at any time, free of charge and without reason. To do this, simply go to the "Account closure" tab of your Profile page.

In the event of (i) violation by you of these T & Cs, in particular of your obligations as a Member mentioned in articles 6 and 8 above, (ii) exceeding the threshold referred to in article 4.3.3. above or if (iii) Heylo has reasonable grounds to believe that this is necessary to protect its security and integrity, that of its Members or third parties or for the purposes of fraud prevention or investigation, Heylo reserves the right the possibility of :

● (i) terminate these T & Cs immediately and without notice; and or

● (ii) prevent the publication or delete any notice, announcement, messages, content, reservation request, or any content published by you on the Platform; and or

● (iii) limit your access and use of the Platform; and or

● (iv) temporarily or permanently suspend your Account.

When necessary, you will be notified of the implementation of such a measure to allow you to give explanations to Heylo. Heylo will decide, in its sole discretion, to lift the measures in place or not.

10. Personal data

As part of your use of the Platform, Heylo is required to collect and process some of your personal data. By using the Platform and registering as a Member, you acknowledge and accept the processing of your personal data by Heylo in accordance with applicable law and the stipulations of the Privacy Policy.

11. Intellectual property

11.1. Content published by Heylo

Subject to the content provided by its Members, Heylo is the sole holder of all the intellectual property rights relating to the Service, to the Platform, to its content (in particular texts, images, drawings, logos, videos, sounds, data, graphics) as well as software and databases ensuring their functioning.

Heylo grants you a non-exclusive, personal and non-transferable license to use the Platform and the Services, for your personal and private use, on a non-commercial basis and in accordance with the purposes of the Platform and the Services.

You prohibit any other use or exploitation of the Platform and Services, and their content without the prior written authorization of Heylo. In particular, you prohibit yourself from:

● (i) reproduce, modify, adapt, distribute, publicly represent, disseminate the Platform, the Services and their content, except for what is expressly authorized by Heylo;

● (ii) decompile, reverse engineer the Platform or the Services, subject to the exceptions provided for by the texts in force;

● (iii) extract or attempt to extract (in particular by using data suction robots or any other similar data collection tool) a substantial part of the data on the Platform.

11.2. Content published by you on the Platform

In order to allow the provision of the Services and in accordance with the purpose of the Platform, you grant Heylo a non-exclusive license to use the content and data that you provide in connection with your use of the Services (hereinafter, your « Content Member »). In order to allow Heylo the distribution by digital network and according to any communication protocol (in particular Internet and mobile network), as well as the making available to the public of the content of the Platform, you authorize Heylo, for the whole world and for any the duration of your contractual relationship with Heylo, to reproduce, represent, adapt and translate your Member Content as follows:

● (i) you authorize Heylo to reproduce all or part of your Member Content on any digital recording medium, known or unknown to date, and in particular on any server, hard disk, memory card, or any other equivalent medium, in any format and by any process known and unknown to date, to the extent necessary for any storage, backup, transmission or download operation related to the operation of the Platform and the provision of the Service;

● (ii) you authorize Heylo to adapt and translate your Member Content, as well as to reproduce these adaptations on any digital medium, current or future, stipulated in (i) above, for the purpose of providing the Services, in particular in different languages. This right includes in particular the faculty to carry out, in the respect of your moral right, modifications of the formatting of your Member Content in order to respect the graphic charter of the Platform and / or to make it technically compatible with a view to its publication via the Platform.

● (ii) you authorize Heylo to adapt and translate your Member Content, as well as to reproduce these adaptations on any digital medium, current or future, stipulated in (i) above, for the purpose of providing the Services, in particular in different languages. This right includes in particular the faculty to carry out, in the respect of your moral right, modifications of the formatting of your Member Content in order to respect the graphic charter of the Platform and / or to make it technically compatible with a view to its publication via the Platform.

12. Role of Heylo

The Platform constitutes an online connection platform on which Members can create and publish Carpool Ads for Carpool Trips. These Carpool Announcements as well as the Bus Announcements can in particular be consulted by other Members to read the terms of the Trip and, if necessary, directly book a Place in the vehicle concerned with the Member who posted the announcement on the Platform. or the Coach.

By using the Platform and accepting these T & Cs, you acknowledge that Heylo is not party to any agreement concluded between you and the other Members or a Coach operator with a view to sharing the costs relating to a Trip.

Heylo has no control over the behavior of its Members, Coach Operators and their attendants, and users of the Platform. It does not own, operate, provide, manage the vehicles covered by the Advertisements, or offer any journey on the Platform.

You acknowledge and agree that Heylo does not control the validity, truthfulness or legality of the Advertisements, Places and Routes offered. As a carpool intermediary, Heylo does not provide any transport service and does not act as a transporter, the role of Heylo being limited to facilitating access to the Platform.

As part of a Carpool Trip, the Members (Drivers or Passengers) act under their sole and entire responsibility, in particular in accordance with the provisions of the Civil Code relating to the law of obligations and contractual civil liability (article 1109 et seq. Of the Code Cameroonian civilian)

As an intermediary, Heylo cannot be held liable for the effective running of a Trip, and in particular because:

● (i) erroneous information communicated by the Driver or the Coach operator, in his Advertisement, or by any other means, as to the Route and its modalities;

● (ii) cancellation or modification of a Trip by a Member or Coach operator;

● (iii) the behavior of its Members during, before or after the Trip.

13. Operation, availability and functionality of the Platform

Heylo will endeavor, as far as possible, to keep the Platform accessible 7 days a week and 24 hours a day. However, access to the Platform may be temporarily suspended, without notice, due to technical maintenance operations , migration, updates or due to breakdowns or constraints related to the operation of networks.

In addition, Heylo reserves the right to modify or interrupt, in its sole discretion, temporarily or permanently, all or part of the access to the Platform or its functionalities.

14. Modification of the T & Cs

These T & Cs express the entire agreement between you and Heylo relating to your use of the Services. Any other document, in particular any mention on the Platform (FAQ, Blog, etc.), has only an informative value.

Heylo may have to modify these General Conditions of Use in order to adapt to its technological and commercial environment and in order to comply with current regulations. Any modification of these Terms will be published on the Platform with a mention of the update date and will be notified to you by Heylo before its entry into force.

15. Applicable law - Litigation

These Terms are written in French and English and subject to Cameroonian law. The jurisdiction of any dispute will be the exclusive jurisdiction of the Cameroonian courts.
